Software License Agreement
Carefully read the following terms and conditions before using, downloading or otherwise accessing this software the use of which is licensed by palm, inc. (“palm”) to you, the original end user, for your use only as set forth below. If you do not agree to the terms and conditions of this software license agreement (“license agreement”), do not use, access or otherwise download the software. Using, accessing or otherwise downloading any part of the software indicates that you accept these terms.
Software products included with this product that are not Palm products are licensed to you by the software provider. Refer to the license contained in the provider’s product for the terms of use before using such products. Additionally, such third party software included may contain a variety of functions that may implement third party technologies for various industry standards. Implementations of other third party technology in accordance with such standards, or the standard enabled platforms, may require licenses from various entities. Such licenses are not provided by Palm and you should contact the provider of such software for more information. You solely are responsible for obtaining any such licenses and the licenses granted herein are conditioned on your obtaining such additional licenses.
LICENSE: Palm grants you a limited, nonexclusive license to use the accompanying software program(s) (the “Software”) subject to the terms and restrictions set forth in this License Agreement. You are not permitted to use the Software in any manner not expressly authorized by this License Agreement. You acknowledge and agree that ownership of the Software and all subsequent copies thereof regardless of the form or media are held by Palm or its suppliers.

NO ASSIGNMENT; NO REVERSE ENGINEERING: You may transfer the Software to another party if such party accepts the terms and conditions of this License Agreement in writing. If you transfer the Software, you must at the same time either transfer all copies of the Software as well as the supporting documentation to the same party or destroy any such materials not transferred.
Modification, reverse engineering, reverse compiling, or disassembly of the Software is expressly prohibited. However, if you are a European Union (“EU”) resident, information necessary to achieve interoperability of the Software with other programs within the meaning of the EU Directive on the Legal Protection of Computer Programs is available to you from Palm upon written request.
LIMITED WARRANTY: Palm warrants to you that the Software will perform in substantial conformance to its program specifications for a period of ninety (90) days from the date of original purchase or two (2) years from the date of original purchase if purchased in any European Union country. Palm makes no warranty or representation that the operation of the Software will be uninterrupted or error free, or that all defects in the Software will be corrected.
EXCLUSIONS: This warranty excludes (1) damage caused by misuse, neglect, improper installation or testing, unauthorized attempts to open, repair, or modify the product, or any other cause beyond the range of the intended use; (2) damage caused by accident, fire, power changes, other hazards, or acts of God; or (4) use of the product with any non- Palm device or service if such device or service causes the problem.
Any third party products, including software, included with Palm products are not covered by this Palm warranty and Palm makes no representations or warranties on behalf of such third parties. Any warranty on such products is from the supplier or licensor of the product.
EXCLUSIVE REMEDIES: Should a covered defect occur during the warranty period and you notify Palm, your sole and exclusive remedy shall be, at Palm’s sole option and expense, to repair or replace the Software. If Palm cannot reasonably repair nor replace then Palm may, in its sole discretion, refund the purchase price paid for the Software. Palm warrants any replaced or repaired software for a period of ninety (90) days from shipment, or through the end of the original warranty, whichever is longer.
OBTAINING WARRANTY SERVICE: You must contact a Palm Technical Support or Customer Service center within the warranty period to obtain warranty service authorization. To obtain the number in your area refer to Palm’s web site at www.palm.com/support. Dated proof of original purchase will be required. Products shipped by you to Palm must be sent postage-paid and packaged appropriately for safe shipment. Palm is not responsible for your products received without a warranty service authorization and may be rejected. Repaired or replacement products will be delivered to you at Palm’s expense. All products that are replaced become the property of Palm. Palm shall not be responsible for your software, firmware, information, or memory data contained in, stored on, or integrated with any products returned to Palm for repair, whether under warranty or not. The repair and replacement process for products in locations outside of the will vary depending on your location.
WARRANTIES EXCLUSIVE: the foregoing warranties and remedies are exclusive and in lieu of all other warranties, terms or conditions, express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, correspondence with description, satisfactory quality and non-infringement, all of which are expressly disclaimed by palmand its suppliers.
LIMITATION OF LIABILITY: neither palm nor its suppliers shall be liable for incidental, consequential, indirect, special, or punitive damages of any kind, loss of information or data, loss of revenue, loss of business or other financial loss arising out of or in connection with the license or use of this software, whether based in contract, tort (including negligence), strict product liability or any other theory, even if palm has been advised of the possibility of such damages and even if any limited remedy specified in this license agreement is deemed to have failed of its essential purpose. Palm’s entire liability shall be limited to replacement or repair, at palm’s option.
DISCLAIMER: Some countries, states, or provinces do not allow the exclusion or limitation of implied warranties or the limitation of incidental or consequential damages so the above limitations and exclusions may be limited in their application to you. When implied warranties may not be excluded in their entirety, they will be limited to the duration of the applicable written warranty. This License Agreement gives you specific legal rights; you may have other rights that may vary depending on local law. Your statutory rights are not affected.
EXPORT RESTRICTIONS: You agree that you will not export or re-export the Software or accompanying documentation (or any copies thereof) or any products utilizing the Software or such documentation in violation of any applicable laws or regulations of the or the country in which you obtained them.

Government Rights: The Software licensed under this License Agreement is "commercial computer software" as the term is described in 48 C.F.R.
GOVERNING LAW: This License Agreement shall be governed by the laws of the State of
SEVERABILITY: In the event any provision of this License Agreement is found to be invalid, illegal or unenforceable, the validity, legality and enforceability of any of the remaining provisions shall not in any way be affected or impaired.
ENTIRE AGREEMENT: This License Agreement sets forth the entire agreement between you and Palm, supersedes all prior agreements, whether written or oral, with respect to the Software, and may be amended only in a writing signed by both parties.
